Company formation

“Files get sent back over small details, so I reread every small detail before I file.”

Mai studied economic law, and for her first two years of work, from 2021, she sat at the corporate filings desk of a small law firm. She prepared hundreds of registration and amendment files there and learned that the business registration office rejects files for very small things: a missing line-of-business code, a signature that does not match, an address written differently from the property papers.

She joined Sổ Sách Sáng in 2023\. In five years of filings, hers rarely come back.

## Who she works with

Mai handles all of the office’s company paperwork: setting up limited liability companies, changing addresses, adding members, changing the legal representative, renewing digital signatures and registering e-invoices. Her clients are mostly first-time founders, online shop owners moving from a household business to a company, and some foreign founders once a law firm has obtained their investment certificate.

## A habit

Every file has its own checklist, and she rereads the whole thing the next morning. She never files in the same sitting she drafted it. While waiting, she messages the client with what is done and what is waiting on whom.

Daniel, who runs a design studio, says his company took twelve days from signing the file to having a bank account, and he never once had to ask where things stood. That is the point for Mai: clients should not have to ask.

## What she is learning

She is reading the newer rules on declaring beneficial owners when registering a company, because new clients have started asking about them. At weekends she studies legal English so she can walk foreign founders through a company charter without an interpreter.
