It usually takes 10 to 12 working days. from 5,000,000 VND A business registration certificate is only half of a working company. The other half is the digital signature, the e-tax account, e-invoices and the first tax period, and that is where new companies tend to collect their first penalties. This package covers both halves. Võ Ngọc Mai runs it and messages you each time a step is done. **Before you read on:** if any owner of the company is a foreign individual or a foreign company, you will normally need an investment registration certificate (IRC) and the process is different. We do not handle IRC applications. Joint stock companies, several investors, or members abroad whose papers need consular legalisation are quoted after the first call. After three months you can continue with bookkeeping at VND 3 million a month, move to another accountant, or do it yourself. If you leave, we hand over every ledger and password within five working days, free. ## How long it takes In working days, counted from when you sign the file: 1. **Days 1 to 2.** We draft the file from our first conversation; you read it and sign. 2. **Days 3 to 5.** We file online. If the file is complete, the business registration office issues the certificate within 3 working days. Mai’s files rarely come back, but if one does we fix and refile the same day. 3. **Days 6 to 7.** Seal, digital signature, e-tax account. 4. **Days 8 to 9.** E-invoice registration, approval from the tax authority, a test invoice. 5. **Days 9 to 12.** Bank account. This step depends on the bank’s calendar more than ours. A founder who worked with us in 2025 had the company and bank account in twelve days. That is typical, not a promise: holidays and requests for extra documents add time. ## What you prepare - ID cards or passports of the owner, every member and the legal representative. - Two or three possible company names. We check for clashes before filing. - A head office address with papers: a lease or the owner’s title documents. Residential apartments generally cannot be used as a head office, so ask us before you sign a lease. - The charter capital. It must be fully contributed within 90 days of the certificate, so do not register money you do not yet have. - What the company will actually do in the next two years, in plain words. We choose the codes. - An email address and phone number for the company. ## State fees The registration fee and the publication fee are paid to the state and are not part of our price. Amounts can change, so before filing we check the current figures on the National Business Registration Portal (dangkykinhdoanh.gov.vn) and tell you the exact number. You pay what the receipt says, and we send you the receipt. The business licence fee (lệ phí môn bài) was abolished from 1 January 2026 under Resolution 198/2025/QH15, so there is no longer a licence fee return for a new company. ## What we do not do - **Investment registration certificates (IRC) for foreign investors.** This needs a law firm that specialises in investment work. We can introduce one we know. Once the IRC is issued, we can pick up from there: seal, digital signature, e-tax account, e-invoices and the monthly books. - Sub-licences for conditional business lines such as food safety, fire safety or travel services. - Trademark registration. - Address hire. We do not lend our office address for company registration. ## Mistakes we see Choosing monthly tax returns when quarterly is allowed, which triples the paperwork. Registering VND 5 billion of capital because it looks good, then missing the 90-day deadline. Issuing the first invoice before the e-invoice registration is approved. We check for all three in the first week. ## Common questions **Who keeps the seal and the digital signature?**You do. We only use the digital signature under your authorisation to file returns. **Can you explain the documents in English?**Yes. Every document you sign comes with a short English note on what it is and what it commits the company to. The filed documents themselves are in Vietnamese. No. Prices are fixed per month and exclude 8 percent VAT. The e-invoice is issued on the first day of each month. ### Are there extra fees? No, within the package limits: 80 documents a month for bookkeeping. Above that we tell you first and agree before charging. ### What happens to my records if I leave?
